Governing Law; Jurisdiction. This ToU is governed by California law, without regard to conflict of laws principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. You and District F5ve agree that, except as otherwise provided in Section 16 below, the state and federal courts located in the County of Los Angeles, California will have exclusive jurisdiction of all disputes arising out of or related to this ToU or your use of the Site or the Service and agree to submit to the personal jurisdiction and venue of these courts. Notwithstanding the foregoing, District F5ve shall be allowed to apply for equitable remedies (including injunctions) in any jurisdiction.
- Binding Arbitration.
16.1 Arbitration Procedures. You and District F5ve agree that, except as provided in Section 16.4 below, all disputes, controversies and claims related to this ToU (each a “Claim”), shall be finally and exclusively resolved by binding arbitration, which may be initiated by either party by sending a written notice requesting arbitration to the other party. Any election to arbitrate by one party shall be final and binding on the other. The arbitration will be conducted under the Streamlined Arbitration Rules and Procedures of JAMS that are in effect at the time the arbitration is initiated (the “JAMS Rules”) and under the terms set forth in this ToU. In the event of a conflict between the terms set forth in this Section 16 and the JAMS Rules, the terms in this Section 16 will control and prevail.
Except as otherwise set forth in Section 16.4, you may seek any remedies available to you under federal, state or local laws in an arbitration action. As part of the arbitration, both you and District F5ve will have the opportunity for discovery of non-privileged information that is relevant to the Claim. The arbitrator will provide a written statement of the arbitrator’s decision regarding the Claim, the award given and the arbitrator’s findings and conclusions on which the arbitrator’s decision is based. The determination of whether a Claim is subject to arbitration shall be governed by the Federal Arbitration Act and determined by a court rather than an arbitrator. Except as otherwise provided in this ToU, (a) you and District F5ve may litigate in court to compel arbitration, stay proceedings pending arbitration, or confirm, modify, vacate or enter judgment on the award entered by the arbitrator; and (b) the arbitrator’s decision shall be final, binding on all parties and enforceable in any court that has jurisdiction, provided that any award may be challenged if the arbitrator fails to follow applicable law.
BY AGREEING TO THIS ARBITRATION PROVISION, YOU UNDERSTAND THAT YOU AND DISTRICT F5VE WAIVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.
16.2 Location. The arbitration will take place in your hometown area if you so notify District F5ve in your notice of arbitration or within ten (10) days following receipt of District F5ve’s arbitration notice. In the absence of a notice to conduct the arbitration in your hometown area, the arbitration will be conducted in Los Angeles, California, unless the parties agree to video, phone and/or internet connection appearances.
16.3 Limitations. You and District F5ve agree that any arbitration shall be limited to the Claim between District F5ve and you individually. YOU AND DISTRICT F5VE AGREE THAT (a) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED ON A CLASS-ACTION BASIS OR TO UTILIZE CLASS ACTION PROCEDURES; (b) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY OR AS A PRIVATE ATTORNEY GENERAL; AND (c) NO ARBITRATION SHALL BE JOINED WITH ANY OTHER ARBITRATION.
16.4 Exceptions to Arbitration. You and District F5ve agree that the following Claims are not subject to the above provisions concerning negotiations and binding arbitration: (a) any Claim seeking to enforce or protect, or concerning the validity of, any of your or District F5ve’s intellectual property rights; (b) any Claim related to, or arising from, allegations of theft, piracy, invasion of privacy or unauthorized use; and (c) any claim for equitable relief. In addition to the foregoing, either party may assert an individual action in small claims court for Claims that are within the scope of such court’s jurisdiction in lieu of arbitration.
16.5 Arbitration Fees. If you initiate arbitration for a Claim, you will need to pay the JAMS arbitration initiation fee. If we are initiating arbitration for a Claim, we will pay all costs charged by JAMS for initiating the arbitration. All other fees and costs of the arbitration will be charged pursuant to the JAMS Rules.
16.6 Severability. You and District F5ve agree that if any portion this Section 16 is found illegal or unenforceable (except any portion of Section 16.4), that portion shall be severed and the remainder of the Section shall be given full force and effect. If Section 16.4 is found to be illegal or unenforceable then neither you nor District F5ve will elect to arbitrate any Claim falling within that portion of Section 16.4 found to be illegal or unenforceable and such Claim shall be exclusively decided by a court of competent jurisdiction within the County of Los Angeles, State of California, United States of America, and you and District F5ve agree to submit to the personal jurisdiction of that court.
17.1 ToU Revisions. This ToU may only be revised in a writing signed by District F5ve, or published by District F5ve on the Site.
17.2 No Partnership. You agree that no joint venture, partnership, employment, or agency relationship exists between you and District F5ve as a result of this ToU or your use of the Site or the Service.
17.3 Assignment. District F5ve may assign its rights under this ToU to any person or entity without your consent. The rights granted to you under this ToU may not be assigned without District F5ve’s prior written consent, and any attempted unauthorized assignment by you shall be null and void.
17.4 Severability. If any part of this ToU is determined to be invalid or unenforceable, then that portion shall be severed, and the remainder of the ToU shall be given full force and effect.
17.5 Attorneys’ Fees. In the event any litigation or arbitration is brought by either party in connection with this ToU, the prevailing party shall be entitled to recover from the other party all the reasonable costs, attorneys’ fees and other expenses incurred by such prevailing party in the litigation.
17.6 No Waiver. Our failure to enforce any provision of this ToU shall in no way be construed to be a present or future waiver of such provision, nor in any way affect our right to enforce the same provision at a later time. An express waiver by District F5ve of any provision, condition or requirement of this ToU shall not be understood as a waiver of your obligation to comply with the same provision, condition or requirement at a later time.
17.7 Notices. All notices given by you or required under this ToU shall be in writing and addressed to: 727 ½ Longfellow Ave., Hermosa Beach, CA 90254, ATTN: Eddie Stover.

You must comply with all export laws and regulations of the United States or any other country (“Export Controls”) and you shall not export, direct or transfer any portion of the Site or the Service, or any direct product thereof, to any destination, person or entity restricted or prohibited by the Export Controls.
17.9 Equitable Remedies. You acknowledge and agree that District F5ve would be irreparably damaged if the terms of this ToU were not specifically enforced, and therefore you agree that we shall be entitled, without bond, other security, or proof of damages, to appropriate equitable remedies with respect to breaches of this ToU, in addition to such other remedies as we may otherwise have available to us under applicable laws.
17.10 Entire Agreement. This ToU, including the documents referenced in this ToU, constitutes the entire agreement between you and District F5ve with respect to the Site and the Service and supersedes any and all prior agreements between you and District F5ve relating to the Site and/or the Service.

District F5ve is committed to providing excellent customer service, and we encourage customers to contact our customer service department prior to filing a credit card chargeback when there is a conflict or issue. A chargeback is defined as a dispute to a charge or request to have a charge reversed. We encourage our customers to contact our customer service department prior to filing a chargeback because we are confident that we can resolve the issue in a satisfactory manner. Please be aware that chargebacks are not to be used as a substitute for directly contacting District F5ve to resolve any questions or issues you might have. Unwarranted chargebacks result in substantial expenses for our company, and for every frivolous chargeback initiated by a customer, the customer will be charged a $25.00 processing fee. This processing fee will be deducted from the final credit the customer will receive, if and when a credit is due. A frivolous chargeback is defined as a chargeback in which a customer's credit card company or bank rules the outcome of the chargeback case in our favor.
18.5 Shipping Restrictions. As of June 9th, 2016, District F5ve has suspended shipments to consumers in the state of California indefinitely due to the passage of state legislation. Specifically California Senate Bill No. 5, which categorizes vapor products as tobacco products for purposes of the STAKE (Stop Tobacco Access to Kids Enforcement) Act. With respect to the STAKE Act, internet retailers are required to abide by the following procedures before shipping to a customer:
- Obtain an age-verification kit consisting of an attestation signed by the customer or recipient that he or she is 21 years of age or older and a copy of a valid form of government identification.
- In the case of a sale, seller shall make a telephone call after 5 p.m. to the purchaser confirming the order prior to shipping the tobacco products.
- The seller shall deliver the tobacco product to the recipient's verified mailing address, or in the case of a sale, the seller shall deliver the tobacco product to the purchaser's verified billing address on the check or credit card used for payment.
18.6 Age Verification. Effective August 8th, in order to comply with FDA Deeming regulations, District F5ve will require all customers to submit materials in order to verify their legal age. According to § 1140.14(a)(2)(i) of the Deeming Regulations, retailers of vapor products may not sell products to individuals under 18 years of age. Section 1140.14(a)(2)(i) also requires retailers of vapor products to verify the purchaser's birth date by reviewing the individual's photographic identification. For instances in which state legislation requires a minimum purchase age greater than 18 years of age, District F5ve will abide by such state legislation. A list of states with minimum purchases ages greater than 18 has been outlined below.
All orders are solely in accordance with our delivery and payment terms, with which the person placing the order declares himself or herself to be in agreement at the time of placing the order. Payments must be made in full by Company Check, Cashier's Check, Bank Wire, or Chase QuickPay prior to order shipment. Orders typically ship within 1-2 business days after confirmation of payment receipt.
Any attempt to alter, supplement, modify or amend these terms and conditions by the Customer will be considered a material alteration of this agreement and, therefore, are null and void. In addition, these terms and conditions are subject to change at any time, without prior written notice. Therefore, please check these terms and conditions carefully each time you place an order with or accept delivery of any goods from District F5ve.
19.2 Back Orders
Any items that are unavailable will be placed on back order, and the remainder of your order will be shipped. Estimated shipping dates will be provided; however, please note that these dates are "estimates" and not guarantees for delivery.

19.4 Order Modifications
You may change your order, provided that your order has not yet been processed and shipped. Changes can no longer be made to an order once it has been processed and shipped.

Customers must inspect their shipments upon delivery (and prior to signing the delivery confirmation release, if applicable); any discrepancies or issues must be reported to District F5ve within 5 business days of order receipt in order to be investigated pursuant to the Terms of Sale. District F5ve will not be responsible for damage to orders caused by transit, outside of the customary responsibility conveyed to District F5ve to properly pack and protect the contents of each order shipped.
- District F5ve Distribution MAP (Minimum Advertised Price) Policy
District F5ve Distribution has a MAP Policy designed to protect dealer margins and promote pricing fairness amongst our entire dealer base. District F5ve Distribution does not seek explicit agreement from any dealer to adhere to this MAP Policy and it is within the discretion of each reseller to comply; willful non-compliance, however, has consequences set out below.
An advertisement that includes a price lower than the set MAP for an advertised product, or has the effect of advertising a price below the MAP for that product (e.g. through the use of a coupon code, free gifts, “too low to show” price, or other MAP manipulation methods). However, short-term sales or temporary storewide promotions are acceptable. Short-term promotions are defined as promotions lasting no more than 1 week at a frequency of once per month. Anything outside of this will require pre-approval by District F5ve.
For purposes of the MAP Policy, the term "advertising" includes advertisements placed with television, radio, newspapers, magazines, social media, catalogs or flyers (including direct-mail flyers, coupons, or catalogs sent by dealers to their customers), web sites and other methods of advertising on the Internet.
All violations will be subject to the Policy Enforcement Process as delineated below.
1st Violation: District F5ve will issue a warning letter to the dealer. The dealer will have five (5) business days to correct the violation. If the violation is not corrected within this period of time, a second violation will be deemed to have occurred.
2nd Violation: Dealer will not have access to District F5ve products for 30 days. The reseller will have five (5) business days to correct the violation. If the violation is not corrected within this period of time, a third violation will be deemed to have occurred.
